1. Acceptance of Terms

RPS Engineering (“RPS,” “we,” “us,” or “our”), a company of McGuire Johns Holdings Inc., headquartered at 1300 Crispin Drive, Elgin, IL 60123, owns and operates the website located at www.rpsengineering.com and the RPS Conveyor Cover Tool accessible at rpsconveyortool.netlify.app (and any derivative tools or calculators linked from our website), collectively referred to as the “Services.”

By accessing or using any part of the Services, you agree to be bound by these Terms of Use (“Terms”). If you do not agree to all of these Terms, you may not access or use the Services. Use of the Services is limited to persons who have reached the legal age of majority in their jurisdiction of residence.

2. Amendments

RPS reserves the right to amend these Terms at any time and without prior notice. It is your responsibility to review these Terms periodically for changes. Your continued use of the Services following the posting of any changes constitutes your acceptance of the revised Terms.

We also reserve the right to modify, suspend, or discontinue the Services — in whole or in part — at any time without notice. RPS will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. Description of Services

The Services consist of:

The RPS Engineering website (www.rpsengineering.com), which provides product information, resources, and contact features for RPS’s industrial cover systems including conveyor belt covers, wastewater domes, curved roofing and siding, and related products.
The RPS Conveyor Cover Tool (rpsconveyortool.netlify.app), a web-based worksheet and calculator that allows users to enter project dimensions and specifications, generate a conveyor cover worksheet, and submit quote requests directly to the RPS covers team.

4. Calculator and Worksheet Tool — Important Disclaimer

4.1 Estimates Only

The RPS Conveyor Cover Tool is provided as a convenience to assist users in preparing project worksheets and quote requests. All outputs generated by the Tool — including calculated dimensions, arc geometry, material suggestions, and any other results — are ESTIMATES ONLY and are provided for informational and quoting-assistance purposes.

Tool outputs do NOT constitute:

A binding quote, offer, or contract from RPS Engineering;
Engineered or certified drawings or specifications;
A guarantee that any product will fit, function, or meet any regulatory, code, or performance standard;
Professional engineering advice or a substitute for qualified engineering review.

4.2 User Responsibility for Inputs

You are solely responsible for the accuracy and completeness of all information and measurements you enter into the Tool. RPS is not responsible for any errors, omissions, or inaccuracies in Tool outputs that result from incorrect, incomplete, or imprecise inputs by the user.

For non-standard requirements, special applications, or projects with critical tolerances, you should contact RPS directly at coversales@rpsengineering.com or 847-931-1950 before relying on Tool outputs for ordering or installation purposes.

4.3 No Contract or Order Created

Submitting a worksheet or quote request through the Tool does not create a purchase order, contract, or commitment by either party. All orders are subject to RPS’s standard quotation, order acknowledgment, and terms and conditions of sale, which will be provided separately at the time of quoting.

5. Information You Submit

When you submit a worksheet, quote request, or contact form through the Services, you provide RPS with information including your name, company, contact details, and project specifications (“Submitted Information”). By submitting this information, you:

Represent that all information provided is true, accurate, and complete;
Authorize RPS to use the Submitted Information to respond to your inquiry, prepare a quote, and contact you regarding your project;
Acknowledge that Submitted Information will be handled in accordance with our Privacy Policy at www.rpsengineering.com/privacy-statement/.

Submitted Information does not constitute confidential or proprietary information of the user, and RPS shall have no fiduciary obligation to you based solely on your use of the Services or submission of information through the Services.

6. Intellectual Property

All content on the Services — including text, graphics, logos, icons, product images, catalog materials, calculator logic, software, and design — is the property of RPS Engineering Inc. or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

You may print or download content from the Services for your own personal, non-commercial use in connection with evaluating or purchasing RPS products. Except as expressly permitted:

You may not copy, reproduce, republish, distribute, modify, or create derivative works from any content on the Services without prior written permission from RPS;
You may not use RPS trademarks, logos, or brand names without prior written consent;
You may not reverse engineer, decompile, or attempt to extract the source code of the Conveyor Cover Tool or any other software component of the Services.

7. Acceptable Use

You agree to use the Services only for lawful purposes and in a manner consistent with these Terms. You agree that you will not:

Use the Services to submit false, misleading, or fraudulent information;
Use any robot, spider, scraper, or other automated means to access or copy any part of the Services without RPS’s express written permission;
Attempt to gain unauthorized access to any system or network associated with the Services;
Interfere with or disrupt the integrity or performance of the Services;
Use the Services for any commercial purpose other than evaluating or purchasing RPS products;
Upload or transmit any content containing viruses, malware, or other harmful code.

8. No Online Purchasing

The Services do not support direct online purchasing or e-commerce transactions. All product orders are handled through RPS’s standard sales process — including formal quotation, purchase order submission, and order acknowledgment. Nothing on the Services constitutes a binding price, offer to sell, or acceptance of an order.

Pricing, lead times, and availability are subject to change without notice and must be confirmed with the RPS sales team before placing any order.

9. Third-Party Links and Resources

The Services may contain links to third-party websites or resources. These links are provided for convenience only. RPS does not endorse, control, or take responsibility for the content, products, services, or practices of any third-party website. Your use of any linked third-party website is at your own risk and subject to that site’s own terms of use and privacy policy.

10. Disclaimer of Warranties

THE SERVICES — INCLUDING THE WEBSITE, THE CONVEYOR COVER TOOL, AND ALL CONTENT, OUTPUTS, AND INFORMATION PROVIDED THROUGH THE SERVICES — ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RPS ENGINEERING INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES (COLLECTIVELY, “RPS PARTIES”) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, RPS DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (B) ANY RESULTS OR OUTPUTS FROM THE CONVEYOR COVER TOOL ARE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR APPLICATION; OR (C) TRANSMISSIONS TO OR FROM THE SERVICES ARE SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE RPS PARTIES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, INCLUDING BUT NOT LIMITED TO:

Errors or inaccuracies in Tool outputs or calculator results;
Reliance on any information, product description, or specification provided through the Services;
Unauthorized access to or alteration of your transmissions or data;
Any losses resulting from incorrect measurements, specifications, or project information submitted through the Services;
Any other matter relating to the Services.

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF RPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless the RPS Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of or access to the Services; (b) your violation of these Terms; (c) any information you submit through the Services; or (d) your violation of any applicable law or the rights of any third party.

13. Privacy

Your use of the Services is also governed by our Privacy Policy, available at www.rpsengineering.com/privacy-statement/. By using the Services, you acknowledge that you have read and agree to our Privacy Policy. The transmission of data over the internet is not guaranteed to be secure, and RPS assumes no liability for any loss, interception, or alteration of data in transit.

14. Governing Law and Dispute Resolution

These Terms and any dispute arising out of your use of the Services shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Kane County or Cook County, Illinois, and you hereby consent to the personal jurisdiction of such courts.

15. Information Accuracy

RPS believes that the information contained on the Services was accurate when published; however, information is subject to change without notice. Product specifications, dimensions, pricing references, and availability are subject to change. RPS makes no representation or warranty regarding the accuracy, completeness, or currency of any information on the Services.

16. Account Access and Security

Certain features of the Services may require account registration or password-protected access. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify RPS promptly of any unauthorized use of your account. RPS is not responsible for any loss resulting from your failure to safeguard your account credentials.

17. Termination

RPS may, at its sole discretion, suspend or terminate your access to the Services at any time, for any reason, without notice or liability. Upon termination, all provisions of these Terms that by their nature should survive termination — including intellectual property provisions, disclaimers, indemnification, and limitations of liability — shall continue in full force and effect.

18. General Provisions

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

These Terms constitute the entire agreement between you and RPS Engineering with respect to your use of the Services, and supersede all prior or contemporaneous communications and proposals, whether oral or written.

RPS’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
